1. ACCEPTANCE OF TERMS

By accessing the Backd website or joining the Backd waitlist, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access the site or submit your information. These Terms apply to your use of the waitlist and any pre-launch communications from Backd.

2. NATURE OF THE WAITLIST

The Backd waitlist is a pre-launch registration program. By joining the waitlist, you acknowledge and agree that:

• —Joining the waitlist is an expression of interest only. It does not constitute registration, membership, or participation in any investment program or securities offering.
• —Joining the waitlist does not constitute an offer to buy or sell, or a solicitation of an offer to buy or sell, any securities, investment products, or financial instruments of any kind.
• —No money, funds, or assets are exchanged by joining the waitlist. No financial commitment of any kind is created.
• —Being on the waitlist does not guarantee access to the platform when or if it launches, nor does it guarantee any particular pricing, allocation, or other benefit.

3. NOT A SECURITIES OFFERING

Nothing on the Backd website or in any Backd communications constitutes:

• —An offer or solicitation of securities under any applicable law
• —Investment advice or a recommendation to invest
• —A prospectus, offering memorandum, or similar document
• —A guarantee of returns or financial outcomes of any kind

Any future platform offering involving the purchase or sale of financial instruments will be conducted in compliance with applicable laws and regulations at that time, and will be accompanied by appropriate disclosures.

4. NO GUARANTEE OF LAUNCH DATE OR FEATURES

Backd does not guarantee any specific launch date, feature set, or platform functionality. The platform is currently under development and all aspects of the service, including but not limited to its features, pricing, availability, and regulatory status, are subject to change without notice. Descriptions of platform features on the website are illustrative only and do not represent commitments.

5. RIGHT TO MODIFY THE PLATFORM

Backd reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the platform at any time before or after launch, without notice or liability. This includes changes to the platform's business model, fee structure, available markets, supported athletes, or any other feature. Backd also reserves the right to cancel the waitlist or the platform entirely.

6. ELIGIBILITY

By joining the waitlist, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. You also represent that your use of the website and waitlist complies with all applicable laws in your jurisdiction.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Backd and its founders, employees, and affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of or reliance on the website, the waitlist, or any information provided therein. The website and all content are provided “as is” without warranties of any kind.

8. CHANGES TO THESE TERMS

We may update these Terms at any time. Material changes will be communicated via email to waitlist members. Your continued use of the website after any changes constitutes acceptance of the updated Terms.

9. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
